These Terms of Service ("Terms") govern access to and use of the Platform.

2. Acceptance of Terms

By accessing or using the Platform, you agree to be bound by these Terms.

If you do not agree, do not use the Platform.

If you are using the Platform on behalf of a company or other entity, you represent that you have authority to bind that entity.

3. Eligible Users

The Platform is available to individuals, businesses, and enterprises.

The Platform is designed primarily for U.S.-based use cases. Users outside the United States may access the Platform, but certain data, outputs, or features may be incomplete or unavailable.

4. Nature of the Service (Critical Disclosure)

TheHandover.ai provides AI-powered informational and decision-support tools, including but not limited to zoning analysis, feasibility analysis, and related data synthesis.

The Platform is informational only and decision-support only. It does not provide legal, financial, investment, engineering, zoning, architectural, or professional advice.

You acknowledge and agree that:

• Outputs may be incomplete, inaccurate, or outdated
• You are solely responsible for independently verifying all outputs
• You assume full responsibility for decisions made based on Platform outputs
• You must not rely on the Platform as a substitute for professional judgment or third-party verification

5. Accounts & Access

You are responsible for maintaining account security and all activity under your account.

We may suspend or terminate access at any time for any reason, including abuse, misuse, legal risk, or competitive exploitation.

6. Pricing, Billing & Refunds

The Platform may offer Pay-As-You-Go usage, monthly subscriptions (cancel anytime), and Enterprise agreements governed by separate MSAs (24–36 month terms).

Refund Policy: All fees are non-refundable. At our discretion, we may issue usage credits, but this does not create an obligation to do so.

We reserve the right to change pricing with reasonable notice.

7. User Data & Uploads

You may upload documents, addresses and parcel data, financial data and pro formas.

You retain ownership of your uploaded content.

By uploading content, you grant TheHandover.com Inc. a non-exclusive, worldwide, royalty-free license to store, process, analyze, and use such content to operate and improve the Platform. This includes aggregated and anonymized use for AI training and model improvement.

We may retain anonymized or aggregated data after account deletion.

8. AI Outputs & Intellectual Property

The Platform, models, software, and infrastructure are owned exclusively by TheHandover.com Inc..

AI-generated outputs are provided for your internal use only.

You may not resell outputs as a competing product, represent outputs as certified or authoritative, or use outputs to train competing AI systems.

9. Acceptable Use

You agree not to use the Platform for unlawful purposes, upload data you do not have rights to, attempt to reverse engineer, scrape, or exploit models, or misrepresent AI outputs as professional advice.

Additional restrictions may be detailed in the Acceptable Use Policy.

10. Third-Party Services

The Platform may rely on third-party data sources and services.

We are not responsible for their availability, accuracy, or continuity.

11. Disclaimer of Warranties

The Platform is provided "AS IS" and "AS AVAILABLE."

We make no warranties regarding accuracy, completeness, fitness for a particular purpose, or availability/uptime.

12. Limitation of Liability

To the maximum extent permitted by law, our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

We are not liable for lost profits, business interruption, investment losses, or indirect or consequential damages.

13. Indemnification

You agree to indemnify and hold harmless TheHandover.com Inc. from any claims, damages, liabilities, or expenses arising from your use of the Platform, your uploaded content, or your violation of these Terms or applicable law.

14. Termination

We may suspend or terminate access at any time, with or without notice.

Sections relating to IP, disclaimers, liability, and indemnification survive termination.

15. Enterprise Agreements

Enterprise customers are governed by separate Master Service Agreements (MSAs).

In the event of conflict, the MSA controls.

16. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware.

Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

17. Arbitration

At our discretion, disputes may be resolved through binding arbitration instead of court proceedings.

18. Modifications

We may update these Terms at any time. Continued use constitutes acceptance.
